GLOSSARY.
WHAT IS A SHARE DEAL?
In a share deal, the investor does not buy the property itself but shares in the company that owns it. The company remains the owner, so nothing changes in the land register (Grundbuch).
DIFFERENCE FROM AN ASSET DEAL.
- Asset deal: purchase of the property itself, the new owner is entered in the land register.
- Share deal: purchase of company shares, the company's contracts, rights and obligations transfer with it.
- The main differences concern real estate transfer tax (Grunderwerbsteuer), liability and the scope of due diligence.
WHY IT MATTERS.
With the shares, the buyer also takes on the company's risks. Careful due diligence is therefore especially important. Buyers and sellers should clarify the tax structure early with their tax and legal advisers.
